Talon Labs Community Edition Licence

Version 1.0, 25 September 2026

DRAFT — pending legal counsel review. Until counsel signs it off, read this text as a statement of intent rather than as final terms.

This one licence covers every Talon Labs product it ships with: today, Talon Studio. The same text, word for word, is the LICENSE file of each product it covers.

The software, not the website
This licence governs the Talon Studio software. Using talonlabs.dev and a Talon Labs account is covered by the Terms of Service. Good-faith security research is covered by the vulnerability disclosure policy.

0. In short

  • The Community Edition costs nothing. It runs with a Community key, which comes with a Talon Labs account. Run it for as long as you like, for your own work (your business included), on infrastructure you control.
  • It is not open source. You get the right to run the software Talon Labs publishes. You do not get its source code, or the right to redistribute or resell it.
  • The Enterprise Edition is unlocked by an Enterprise key from Talon Labs and is covered by a separate written agreement. It is in development and not yet on sale.

This summary is for convenience. Sections 1 to 13 are the terms.

1. Definitions

"Talon Labs", "we" and "us" mean Talon Labs, the publisher of the Software.

"You" means the person or organisation that installs or runs the Software.

"Software" means an official compiled distribution of a Talon Labs product (a container image, Helm chart or other package published by Talon Labs), together with its documentation.

"Community key" means a licence key of the Community tier, issued by Talon Labs to the holder of a Talon Labs account.

"Community Edition" means the Software running with a valid Community key, within the usage limits the Software applies to that tier.

"Enterprise Edition" means the Software running with a valid licence key of a paid tier issued by Talon Labs (an "Enterprise key").

"Third-party components" means software and content in, or used by, the Software that someone other than Talon Labs licenses (section 7).

2. Community Edition licence

Subject to this licence, Talon Labs grants you a free, worldwide, non-exclusive, non-transferable and non-sublicensable licence to:

  • (a) install and run the Software, unmodified, as the Community Edition, with a Community key issued to you, for your own internal purposes, including commercial ones;
  • (b) do so on infrastructure you own or control, including cloud infrastructure rented in your name; and
  • (c) copy the Software only as far as (a) and (b), backup and disaster recovery need.

Your employees and contractors may use the Software on your behalf. You are responsible for their use of it.

3. What this licence does not allow

Unless a written agreement with Talon Labs says otherwise, you may not:

  • (a) sell, rent, lease, redistribute or publish the Software, or otherwise make it available to anyone else, whether for a fee or free of charge. Point them at the official distribution instead;
  • (b) offer the Software, or anything built from it, to third parties as a hosted or managed service;
  • (c) remove, disable, work around or tamper with the licence-key checks, usage limits or any other entitlement check in the Software;
  • (d) modify, decompile, disassemble or reverse engineer the Software, except as far as applicable law, or the licence of a third-party component (section 7), permits it despite this restriction; or
  • (e) remove or alter any copyright, trademark, licence or attribution notice in the Software.

4. Enterprise Edition

The Enterprise Edition needs an Enterprise key issued by Talon Labs. It is governed by the written agreement or order form under which the key was issued, and where that agreement and this licence conflict, the agreement wins. A key grants nothing beyond its own term, tier and scope.

When an Enterprise key expires or stops being valid, the Software returns to the Community Edition, and from then on this licence governs its use.

5. Feedback

The Community Edition exists so the people who use it can tell us what works and what does not. If you send us suggestions, bug reports or other feedback, you allow us to use it for any purpose, with no obligation to you. You never have to send any.

6. Your data

The Software runs on your infrastructure. Talon Labs does not host the data you process with it, and this licence gives Talon Labs no right to that data.

7. Third-party components

The Software includes, and at runtime may download, third-party components under their own licences. Those licences govern those components. Nothing in this licence restricts a right one of them gives you. Where one of them requires that you be allowed to do something this licence otherwise forbids (for example, to modify and relink a library under the GNU LGPL), that requirement prevails for that component.

The inventory of third-party components travels with the Software, in the third-party notices shipped alongside this file and on the licences page of the running product.

8. Ownership and trademarks

Talon Labs and its licensors keep all rights, title and interest in the Software. Every right this licence does not expressly grant is reserved.

"Talon Labs" and "Talon Studio" are trademarks of Talon Labs. This licence grants no right to use them, except to refer to the Software truthfully.

9. Termination

This licence ends automatically if you break it. If you put the breach right within 30 days of first learning of it, your licence is reinstated, once. When the licence ends you must stop using the Software and delete your copies of it. Sections 5, 6, 8, 10, 11 and 12 survive termination.

10. No warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.

11. Limitation of liability

IN NO EVENT SHALL TALON LABS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE, EXCEPT AS A SEPARATE WRITTEN AGREEMENT WITH TALON LABS PROVIDES.

Nothing in sections 10 and 11 limits liability that cannot be limited by law.

12. Versions of this licence

Talon Labs may publish new versions of this licence. Each release of the Software is governed by the version shipped with it, so a later version never changes the terms of a release you already have.
